This website (the “Site”) is owned by Therigy, LLC a Florida limited liability company (“Therigy”). Use of this Site is subject to these Terms and Conditions (“T&Cs” or the “Agreement”). This Site is intended for use by users that reside in the U.S. and are 18 or older. This Site is used to store and transmit content, materials, and information about Therigy’s organization and business (“Therigy Information”) and information submitted by you as the Site user or viewer (“You”, and with reference to the possessive, “Your”). By using this Site, You are agreeing to comply with the following Terms and Conditions:

Acceptance of Site Terms and Conditions:

These T&Cs are an agreement between Therigy and You. By accessing any portion of the Site, You are agreeing to be bound to this Agreement with respect to the Site. This Agreement constitutes the entire and only agreement between Therigy and You as to the subject matter herein, and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the Site and Therigy Information.

This Agreement may be amended by Therigy from time to time without specific notice to You. The most current terms of this Agreement will be posted on the Site, and You should review this Agreement prior to using the Site.

IF YOU DO NOT AGREE WITH ANY OF THESE TERMS AND CONDITIONS, YOU MUST IMMEDIATELY CEASE USING THE SITE.

The content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including, but not limited to, intellectual property) rights. The copying, redistribution, use or publication by You of any such matters or any part of the Site, except as expressly allowed under this Agreement or another agreement between You and Therigy, is strictly prohibited. You do not acquire ownership rights to any content, document or other materials viewed through the Site (“Content and Materials”). The posting of information or materials on the Site does not constitute a waiver of any right in such information and materials. Some of the content on the Site is the copyrighted work of third parties.

Therigy and the Therigy logos and other similar materials may or are registered service marks or trademarks of Therigy. Other product and company names mentioned on the Site may be trademarks of their respective owners.

Nothing in this Agreement: (a) transfers any ownership in any intellectual property (including, without limitation, its copyrights, patents, trademarks, service marks or trade secrets) to You or the company with whom you are affiliated (the “Company”); nor (b) grants You or the Company the right to make derivative works of the foregoing. Therigy reserves all rights in the foregoing, and You hereby agree to transfer ownership of any derivate works You create from Therigy’s intellectual property (including Therigy Information, as well as any other Therigy applications, processes, and information) to Therigy.

The information and other materials offered by this Site are proprietary intellectual property and may not be distributed, modified, or reused in any way without the express written consent of Therigy. The use or misuse of trademarks, copyrights, and related materials is prohibited and will violate trademark, copyright, other laws/statutes, and state/federal regulations. No printed copy or electronic version of any part of the Site or its contents may be used by You in any litigation or arbitration matter whatsoever under any circumstances. You agree to comply with all applicable laws and regulations while using this Site.

Acceptable and Unacceptable Use:

You are granted a non-exclusive, non-transferable, revocable license to: (a) access and use the Site strictly in accordance with this Agreement; (b) use the Site solely for internal, personal, non-commercial purposes; and (c) print out discrete information from the Site solely for internal, personal, non-commercial purposes; provided, that You maintain all copyright and other policies contained therein.

You may not: (a) copy, print (except for the express limited purpose described above), republish, display, distribute, transmit, sell, rent, lease, loan or otherwise make available in any form or by any means all or any portion of the Site or any Content and Materials retrieved from it; (b) use the Site or any materials obtained from the Site to develop, of as a component of, any information, storage and retrieval system, database, information base, or similar resource (in any media now existing or hereafter developed), that is offered for commercial distribution of any kind, including through sale, license, lease, rental, subscription, or any other commercial distribution mechanism; (c) create compilations or derivative works of any Content and Materials from the Site; (d) use any Content and Materials from the Site in any manner that may infringe any copyright, intellectual property right, proprietary right, or property right of Therigy or any third parties; (e) remove, change or obscure any copyright notice or other proprietary notice or terms of use contained in the Site; (f) make any portion of the Site available through any timesharing system, service bureau, the Internet or any other technology now existing or developed in the future; (g) remove, decompile, disassemble or reverse engineer any Site software or use any network monitoring or discovery software to determine the Site architecture; (h) use any automatic or manual process to harvest information from the Site; (i) use the Site for the purpose of gathering information for or transmitting: (1) unsolicited commercial email; (2) email that makes use of headers, invalid or nonexistent domain names, or other means of deceptive addressing; and (3) unsolicited telephone calls or facsimile transmissions; (j) use the Site in a manner that violates any state or federal law regulating email, facsimile transmissions or telephone solicitations; or (k) export or re-export the Site or any portion thereof, or any software available on or through the Site, in violation of the export control laws or regulations of the United States.

Consumer Privacy Policy and Use of Your Information:

Therigy’s Consumer Privacy Policy, as it may change from time to time, is incorporated into this Agreement (“Consumer Privacy Policy”). The latest Consumer Privacy Policy will be posted on the Site (https://cps.com/consumer-privacy-notice), and You should review this prior to using the Site.

This Site is designed for use by our customers, vendors, prospective employees, and other stakeholders. Information submitted on this Site is used to process requests for additional information. Therigy keeps information on file for future inquiries and updates customers may receive.

You authorize Therigy to the use all information You submit via the Site and to collect information regarding Your use of the Site in any manner consistent with our Consumer Privacy Policy. All remarks, suggestions, ideas, graphics, or other non-personal information communicated by You to Therigy (collectively, a “Submission”) will forever be our property. Therigy will not be required to treat any Submission as confidential and will not be liable for any ideas (including without limitation, product, service or advertising ideas) and will not incur any liability as a result of any similarities that may appear in our future products, services or operations. Without limitation, Therigy will have exclusive ownership of all present and future existing rights to the Submission of every kind and nature everywhere. Therigy will be entitled to use the Submission for any commercial or other purpose whatsoever, without compensation to You or any other person sending the Submission. You acknowledge that You are responsible for whatever material You submit, and You, not Therigy, have full responsibility for the message, including its legality, reliability, appropriateness, originality, and copyright.

Therigy do not warrant or guarantee the accurateness, completeness, adequacy or currency of the information contained in or linked to the Site. Your use of information on the Site or materials linked to the Site is entirely at Your own risk.

Links and Third-Party Web Sites:

You may provide links to the Site, provided (a) that You do not remove or obscure, by framing or otherwise, advertisements, the copyright notice, or other notices on the Site, (b) Your site does not engage in illegal or pornographic activities, and (c) You remove or discontinue providing links to the Site immediately upon request by Therigy.

For Your convenience, the Site may contain links that will redirect You to web sites, pages, iframes or other resources operated by other organizations (each a “Third-Party Web Sites”), including those of the Company. Inclusion of any linked Web site on our Site does not imply approval or endorsement of the linked Web site by Therigy. Your use of Third-Party Web Sites is strictly at Your own risk. As a result, You agree that Therigy has no liability for any damages You may incur as a result of Your use of such Third-Party Websites.

IP Infringement – DMCA Notice:

If You believe that any material or information on the Site is an unauthorized replication of Your proprietary work or otherwise infringes Your intellectual property rights, please provide Therigy with notice containing the following information:

A physical or an electronic signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
A description of the copyrighted work or other intellectual property that You claim has been infringed;
A description of where the material that You claim is infringing is located on the Site;
Your address, telephone number, and email address;
A statement by You that You have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law; and
A statement by You, made under penalty of perjury, that the above information in Your notice is accurate and that You are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.

Therigy respects the intellectual property of others, and Therigy expect the users of the Site to do the same. Therigy may, at its discretion, limit, disable and/or terminate the access of any users who may be infringing the intellectual property of third parties.

Warranty Disclaimers:

Therigy do not represent or warrant that the Site will be error-free, free of viruses or other harmful components, or that defects will be corrected. Therigy do not represent or warrant that the information available on or through the Site will be correct, accurate, timely or otherwise reliable. Therigy may make changes to the features, functionality, or content of the Site at any time. Therigy reserves the right in its sole discretion to edit or delete any documents, information or other content appearing on the Site.

Third-party content may appear on the Site or may be accessible via links from the Site. Therigy is not responsible for and assumes no liability for any mistakes, misstatements of law, defamation, omissions, falsehood, obscenity, pornography, or profanity in the statements, opinions, representations or any other form of content on the Site. YOU HEREBY EXPRESSLY ASSUME THE SOLE RISK OF ANY UNAUTHORIZED DISCLOSURE OR INTENTIONAL INTRUSION, OR OF ANY DELAY, FAILURE, INTERRUPTION, OR CORRUPTION OF DATA OR OTHER INFORMATION TRANSMITTED IN CONNECTION WITH THE USE OF THE SITE INCLUDING, WITHOUT LIMITATION, ANY SUCH OCCURRENCE THAT MIGHT RESULT FROM VIRUSES, MALWARE, SPYWARE OR OTHER MALICIOUS SOFTWARE WHETHER SUCH MALICIOUS SOFTWARE RESIDES ON YOUR COMPUTER OR ON A THERIGY OR THIRD-PARTY SYSTEM.

Limitation of Therigy’s Liability:

Subject only to the terms of the Agreement with Your Company and except as expressly provided below, THERIGY WILL NOT BE LIABLE TO YOU OR YOUR COMPANY FOR ANY LOSS (TANGIBLE OR INTANGIBLE) OR DAMAGES OF ANY KIND ARISING FROM OR RELATED TO THERIGY’S OPERATION OF THE SITE OR YOUR OR YOUR COMPANY’S USE OF THE SITE OR THERIGY INFORMATION. UNDER NO CIRCUMSTANCES SHALL THERIGY BE LIABLE TO YOU OR YOUR COMPANY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, REGARDLESS OF HOW THE DAMAGES ARE INCURRED OR THE THEORY OF LIABILITY, INCLUDING CLAIMS BASED UPON ALLEGED NEGLIGENCE BY THERIGY. THE LIMITATIONS ON THERIGY’S LIABILITY APPLY REGARDLESS OF WHETHER THERIGY HAS BEEN ADVISED OF OR IS AWARE OF THE POSSIBILITY THAT SUCH LOSSES OR DAMAGES MAY OCCUR.

You agree that the limitations on Therigy’s liability in this Agreement apply even if the remedy available to You fails of its essential purpose or does not fully compensate You for any losses. If any provision in this Agreement limiting Therigy’s potential liability is determined to be unenforceable by a court or other authority with jurisdiction to decide the matter, then THERIGY’s liability shall be capped at $1,000 in aggregate for all claims related to this Site, Therigy Information, and/or this Agreement.

Indemnification of THERIGY by You:

You agree to defend, indemnify, and hold Therigy harmless from any third-party claims arising out of or related to Your use of this Site and Therigy Information.

Changes to T&Cs and Your Right to Access this Site:

Therigy may change these T&Cs at any time by posting a subsequent version on the Site or other Therigy Information. You are responsible for periodically reviewing these T&Cs and to discontinue Your use of the Site if You do not agree to any such changes. Your continued use of this Site following such changes constitutes Your acceptance of the new T&Cs as to the Site and Therigy Information, regardless of whether Therigy notified You of the changes.

You agree that Therigy may cease providing any or all portions of this Site or make any changes to any or all of its features, functionality, and content at any time and without prior notice to You. You also agree that Therigy may terminate Your access to this Site (which termination shall automatically terminate Your license hereunder), without prior notice to You for any reason that Therigy, in its sole judgement, deems appropriate.

Choice of Law:

This Agreement shall be governed by the laws of the State of New York, without regard to its rules regarding conflicts of law.

Survival of Terms and Severability.

All provisions of these T&Cs are intended to apply to the maximum extent permitted by law. If Therigy chooses to discontinue this Site or Your use thereof, or You choose to discontinue Your use of this Site, then these T&Cs and Your right to use this Site shall immediately terminate, however, any terms and conditions of these T&Cs that would, by their nature, survive the termination or expiration of these T&Cs shall so survive. If any provision (or part thereof) is held to be invalid or unenforceable by any proper court or authority, then such provision (or part) will be deemed removed from these T&Cs, but all other terms and conditions will remain in full force and effect. You agree that any provision (or part) so removed shall be replaced with a provision designed to achieve a result as near as possible to that of the provision (or part) so removed to the maximum extent permitted by law.

Entire Agreement.

These T&Cs and the Privacy Policy constitute the entire agreement between You and Therigy regarding this Site and supersedes all prior agreements, representations or understandings respecting this Site. A failure by Therigy to enforce any provision of these T&Cs, or a waiver by Therigy of any breach of these T&Cs, shall not act as a bar to subsequent enforcement of such provision or be deemed a waiver of any subsequent breach.
